Terms of Service

1. Acceptance of Terms & Contractual Entity

These Terms of Service (“Terms”) constitute a legally binding agreement between you or the entity you represent (“Client”, “you”) and AVMARKONE Digital & Technology Solutions (“AVMARKONE”, “we”, “us”), having its principal place of business at Sector 63, Noida, Uttar Pradesh 201301, India.

By accessing our website (https://avmarkone.com), engaging our growth engineering services, utilizing our proprietary tools (OmniRank™, CampaignOS™), or requesting a free campaign blueprint, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Scope of Services

AVMARKONE provides growth architecture, digital technology, and customer acquisition services, including but not limited to:

• Paid Performance Advertising: Google Search PPC, Meta (Facebook & Instagram) Ads, server-side CAPI telemetry, negative keyword fortresses, and creative hook engineering.
• Search Engine & AI Optimization (SEO/AEO/GEO): Technical search velocity, Princeton KDD '24 generative search benchmarks, and Core Web Vitals optimization.
• Software & Funnel Engineering: Sub-second Next.js web applications, high-converting dedicated landing pages, and API integrations.
• Artificial Intelligence & Automation: Autonomous 24/7 sales assistants, CRM webhook ingestion pipelines, and multi-touch revenue telemetry.
• Real Estate Information Portals: Curated pre-launch discovery radars and direct developer sales desk routing across Delhi NCR.

3. Ad Spend & Direct Pass-Through Card Billing

As codified in our operating principles, AVMARKONE operates on a strict Zero-Markup Direct Billing Architecture:

• Direct Network Billed: All media advertising spend (ad budget) is charged directly to the Client’s own payment method by the advertising networks (Google LLC, Meta Platforms, Inc., LinkedIn Corporation).
• Zero Agency Margin on Ad Spend: AVMARKONE does not inflate, markup, or take a percentage commission on raw advertising spend. Our fee is an agreed, transparent milestone sprint fee for campaign architecture, creative production, and engineering.
• Tax & Invoicing: Invoices for ad spend are issued directly to the Client by Google or Meta under the Client’s applicable GST / VAT business identification.

4. 100% Client Asset Ownership Guarantee

All work produced during the course of an engagement belongs to the Client upon settlement of applicable service sprint fees:

• Account Custody: All Google Ads accounts, Meta Business Managers, Google Analytics 4 properties, and Tag Manager containers are built in or linked to the Client’s corporate profile.
• Historical Pixel Data: You retain complete ownership of all historical conversion data, audience lists, and server-side tracking assets.
• No Lock-In: If you decide to transition campaigns in-house or pause engagements, your accounts and assets remain entirely undisturbed in your possession.

5. No Guaranteed ROAS / Financial Return Disclaimer

Case study metrics, benchmark figures (e.g. 4.4x average ROAS, 7.2x Google search benchmarks), and CampaignOS™ forecasting projections are illustrative historical demonstrations and mathematical modeling tools; they do not constitute promissory guarantees or binding warranty agreements.

6. Real Estate Discovery Portal Terms & RERA Disclaimers

With respect to our verified flats and real estate discovery sections (Verified Flats NCR Radar):

• Information & Media Facilitator Role: AVMARKONE is a digital marketing, media, and technology enterprise. We are not an unauthorized broker or development company.
• Direct Developer Sales Desk Routing: Buyer inquiries are routed directly to authorized developer sales desks (e.g. Prateek Group, Godrej Properties, DLF, M3M, Gaurs) with zero brokerage charged to the prospective homebuyer.
• RERA Verification Responsibility: All project configurations, floor plans, pre-launch timelines, and price matrices are sourced from publicly available developer brochures. Prospective purchasers must independently verify RERA registration numbers with UP RERA (uprera.org) or Haryana RERA (haryanarera.gov.in) before executing binding allotment agreements.

7. Client Representations & Content Compliance

The Client represents and warrants that all products, services, claims, and branding assets submitted to AVMARKONE for advertising do not violate Google Ads Policies, Meta Advertising Standards, consumer protection laws, or intellectual property rights of third parties. The Client is solely responsible for the regulatory compliance of their commercial offerings.

8. Intellectual Property & Proprietary Tool Rights

AVMARKONE retains all proprietary rights, copyright, and patent interest in its underlying tool code, algorithms, and methodologies, including the OmniRank™ AI Studio framework, CampaignOS™ simulation algorithms, and proprietary automation scripts. The Client receives an irrevocable, non-exclusive license to use deliverables deployed specifically for their project.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AVMARKONE, its directors, employees, or partners be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, loss of anticipated sales, ad account suspensions initiated by Google/Meta network policy updates, or third-party server downtime. Our aggregate liability arising from any claim shall not exceed the total service sprint fees paid by the Client to AVMARKONE in the sixty (60) days immediately preceding the event giving rise to liability.

10. Governing Jurisdiction & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. In the event of any controversy or dispute arising under these Terms, the parties shall first attempt amicable settlement through senior executive mediation within fifteen (15) business days.

If mediation fails, the courts of competent jurisdiction located at Gautam Buddha Nagar (Noida), Uttar Pradesh, India shall possess exclusive jurisdiction to adjudicate any claims.
